Section 1: Introduction & Entity Identification

Welcome to Premier Share (the "Platform", "we", "us"). By accessing or using the Platform (via the website or the mobile application), you acknowledge that you have read and agreed to these Terms of Use, and to the Privacy Policy and Risk Disclosure referenced below. These Terms apply to all users and visitors. If you do not agree, please stop using the Platform immediately.

The Platform is operated by Premier for Real Estate Development (the "Company"), registered under Commercial Register No. [COMMERCIAL REGISTER NO.], with its head office at [FULL ADDRESS], Arab Republic of Egypt.

We reserve the right to amend these Terms or any content on the Platform from time to time, for reasons including enhancing security, complying with legislation, or modifying our products. Any amendments take effect upon publication on the Platform, and your continued use constitutes acceptance. You are advised to review these Terms regularly.

Section 2: Definitions

"User": any person who registers or uses the Platform.

"Investor": an activated User permitted to purchase Shares.

"Success Partner": a User enrolled in the Success Partners Program under Section 9.

"Share": an undivided co-ownership interest (tenancy in common) in a property unit listed on the Platform.

"Secondary Market": the in-Platform mechanism for reselling and buying Shares between Users.

"Wallet": the User's digital balance within the Platform.

"Ahmed Advisor": an AI tool provided for informational purposes only (Section 13).

"Locked Bonus": a promotional balance granted on conditions and not treated as withdrawable cash except per its terms.

Section 3: Account Registration & Security

To use the Platform you must create a personal account. Your account credentials (username, password, and any additional verification factor) are unique and non-transferable under any circumstances. You are fully responsible for all activity conducted through your account and for keeping your credentials confidential.

Where two-factor authentication (MFA/TOTP) is enabled, you are responsible for safeguarding your verification method. In case of any disclosure, loss, theft, or unauthorized use of your credentials, you must notify us immediately at [SUPPORT EMAIL]. We may decline to act on any instructions if we suspect the account user is not you or that the use is unlawful.

Section 4: Eligibility & KYC/AML

You must be at least eighteen (18) years old and have full legal capacity under Egyptian law. By using the Platform you represent that you have the legal right and capacity to comply with these Terms.

Registration involves providing basic personal data, uploading your national ID, and completing "Know Your Customer" (KYC) procedures. To meet anti-money-laundering obligations, we may require proof of identity and address. Approval to activate your account as an Investor is at our sole discretion, and you may not execute any investment before KYC verification and account activation by Platform administration. You warrant that all information provided is accurate, current, and complete.

Section 5: Nature of the Platform & Conflict of Interest

Premier Share is a platform enabling Users to purchase undivided co-ownership Shares in property units. The Platform lists units belonging to projects of Premier for Real Estate Development itself, as well as units from other developers or third parties.

Important Conflict-of-Interest Disclosure: Because the company operating the Platform is itself one of the developers whose units are listed, a related-party relationship may exist between the Platform and units offered from Premier's own projects. You acknowledge this disclosure, that any projected returns are estimates and not guaranteed, and that the investment decision is yours alone. We endeavor to disclose the source of each unit (Premier or third party) within the Platform.

Section 6: Investment Mechanism & Co-ownership

When you purchase a Share, you acquire an undivided co-ownership interest in the property unit proportional to your Share value, pursuant to the contractual documents specific to each unit. Each unit's details (price, description, financials) are sourced from parties believed reliable; we make reasonable efforts to verify them without guaranteeing completeness or accuracy.

Returns and distributions (if any) depend on asset performance and market conditions and are not guaranteed. Exit from an investment occurs via the mechanisms available on the Platform (including the Secondary Market in Section 7) and may be subject to periods or restrictions disclosed at the time of offering. Any contractual documents signed electronically through the Platform are binding.

Section 7: Secondary Market & Share Trading

The Secondary Market allows Users to resell and buy Shares within the Platform. The Platform acts as a technical intermediary facilitating these transactions and does not guarantee the existence of a buyer or seller, nor a specific price or immediate liquidity.

The price of a listed Share is determined per the mechanism adopted on the Platform at the time of listing. Fees may apply to Secondary Market transactions and will be clearly disclosed before transaction confirmation. You acknowledge that Share value may rise and fall, that past performance does not guarantee future performance, and that the Platform is not liable for any loss resulting from value volatility or inability to exit.

Section 8: Installment Plans & Payments

The Platform may offer Share purchases via installment plans. By selecting an installment plan, you undertake to pay the installments on their specified, pre-disclosed due dates.

In case of late payment, late fees may apply as disclosed. In case of continued default, the Platform may take the actions set out in the contractual documents, which may include suspending, reclaiming, or re-listing the Share, with settlement of any amounts paid per those documents. Cancellation and refund terms are disclosed before contract conclusion.

Section 9: Success Partners Program

The "Success Partners Program" is a voluntary referral program offered by the Platform. A User joins by choice, and it creates no employment, agency, or legal partnership between you and the Company. A Success Partner is not an employee or a licensed broker and may not provide investment advice or make any representations on behalf of Premier Share.

Program Mechanism:

The User self-registers and selects the "Success Partner" role via the pre-login choice screen. They may browse, but may not invest or send invitations until their account is activated by Platform administration.

Each activated Partner has one permanent, personal referral link, open and unlimited in count.

Invitees join via this link as Users and remain unable to invest until KYC verification and activation of their accounts.

Bonuses (Golden Rule: no bonus is granted before KYC verification and admin activation):

An activation gift for the activated Investor, and a larger activation gift for the activated Success Partner.

A milestone bonus granted to the Success Partner each time the count of activated, verified Investors under their referral reaches a new multiple of fifty (50). Milestones are calculated on a high-water-mark basis, with no clawback of a granted bonus and no retroactive backfill for prior periods.

All bonus values are determined by the Platform and published within Platform settings, and are subject to change from time to time. [Current values inserted by administration]

Nature of Bonuses & Anti-Abuse:

Bonuses may be granted as a Locked Bonus usable for investment within the Platform per its terms, and not treated as withdrawable cash except per those terms.

Creating fake or duplicate accounts, self-referral, collusion, or any manipulation to claim bonuses is prohibited and results in forfeiture of bonuses, suspension or revocation of Partner status, and legal action.

The Platform may, at its sole discretion, refuse or suspend activation, revoke Partner status, or withhold any bonus upon suspected abuse.

The Platform does not guarantee any income or earnings to a Partner; bonuses are tied to actual, verified activations.

The Partner is solely responsible for any taxes or obligations due on bonuses.

Note for legal review: Referral programs tied to bringing in investors may be subject to regulatory considerations (investment marketing/promotion). Counsel to confirm compliance with relevant regulatory requirements.

Section 10: Co-investing, Bundles & Subscriptions

Co-investing: The Platform allows multiple Investors to pool funds to co-invest in a single Share or unit via invitation links. Each participant becomes a co-owner in proportion to their contribution. Participants' rights, obligations, partial-exit mechanics, and dispute resolution among them are governed by the contractual documents specific to each deal. The Platform is not a party to disputes between participants.

Bundles: The Platform may allow investing in a bundle comprising multiple assets in one transaction. Each asset's performance is independent, and the Platform does not guarantee the performance of any asset within a bundle.

Subscriptions: The Platform may offer a recurring investment subscription (e.g., automatic monthly renewal). The billing cycle and auto-renewal mechanism are disclosed before activation, and you may cancel the subscription per the published terms.

Section 11: Digital Wallet

The Platform provides a digital Wallet to hold the User's balance to facilitate transactions. The balance in the Wallet is not a bank deposit and bears no return by virtue of being a balance. Deposits and withdrawals occur per the mechanisms and terms published on the Platform and may be subject to verification and anti-money-laundering procedures.

The Wallet may include locked balances (e.g., promotional bonuses) subject to their own terms. The Platform is not liable for delays caused by payment service providers, banks, or circumstances beyond its control.

Note for legal review: Holding user balances may be subject to electronic-money regulation by the Central Bank. Counsel to determine whether engaging a licensed payment service provider (PSP) is required, or drafting that excludes deposit characterization.

Section 12: Fees & Charges

By using the Platform, you acknowledge and agree to the following fees, whose values are clearly disclosed before confirming each transaction:

Investment entry fees, and transaction fees (purchase, installment payment, sale).

Secondary Market fees (a percentage or fixed amount depending on transaction type).

Penalties for early cancellation, and penalties for late installment payment.

Management fees (to cover asset administration and maintenance, if any).

Currency conversion fees (if you invest in a currency different from your account currency).

Taxes: you are responsible for any taxes due on your investments.

We reserve the right to charge additional fees for new services after prior disclosure. Fees may change, and we will notify you of updates. Continued use constitutes acceptance of fees and any amendments.

Ahmed Advisor's outputs are for informational purposes only and in no way constitute a personal investment recommendation or financial, legal, or tax advice, nor an invitation or offer to buy or sell any asset.

Ahmed Advisor operates on a read-only basis and does not execute transactions on your behalf. AI-generated content may contain errors or outdated information, and the Platform does not guarantee its accuracy, completeness, or suitability to your circumstances. Any investment decision you make based on this content is your sole responsibility, and you are advised to seek independent professional advice before acting. The Platform bears no liability for losses arising from reliance on Ahmed Advisor's outputs.

Section 14: Sharia-compliance Filter

The Platform may provide a tool to filter or tag the offered investments as Sharia-compliant. This tool is indicative, to help you filter by preference, and is not a fatwa, certificate, or endorsement from a Sharia board, unless expressly stated with documentation of the certifying body. We recommend consulting a Sharia specialist where needed. The Platform is not responsible for any Sharia assessment specific to your individual circumstances.

Section 15: Intellectual Property

All content and materials available on Premier Share (text, images, graphics, videos, audio, source code, designs) are protected by intellectual property laws and owned by the Company or its licensors. Any unauthorized reproduction, distribution, display, or modification is prohibited.

The Premier Share name, logo, and any trademarks or service marks used on the Platform are the exclusive property of the Company. The User is granted a limited, non-exclusive, non-transferable license to use the Platform for personal purposes only. If you submit any user-generated content, you grant the Company a worldwide, non-exclusive license to use, reproduce, and publish it, and you warrant that you hold the necessary rights and that it infringes no third-party rights. Ownership of data you upload remains yours, with a license granted to us to use it to operate the service per the Privacy Policy.

Section 16: User Conduct

You may use the Platform for lawful purposes only. Specifically prohibited:

Violating any laws or regulations during use, or using the Platform for unlawful or fraudulent purposes.

Uploading harmful materials (viruses, malware) or misleading, abusive, or indecent content.

Using any automated means (bots, scrapers) to extract property data, prices, or any content without prior written permission.

Attempting unauthorized access, reverse engineering, or disrupting the Platform's infrastructure.

Impersonation or misrepresenting your capacity.

Upon breach of these Terms, the Platform may block access, take legal action, and notify the competent authorities.

Section 17: Limitation of Liability & Indemnity

Your use of the Platform is entirely at your own risk. Neither we nor our affiliates, agents, employees, or suppliers shall be liable for:

Inaccuracy, delay, service interruption, or errors, whatever the cause.

Decisions or actions you take or refrain from taking in reliance on the Platform or its content.

Direct, indirect, incidental, or consequential damages, even if advised of their possibility.

Losses arising from causes beyond our control.

This limitation does not exclude liability for death or injury caused by our negligence, for fraud, or any liability that cannot be excluded by law. All exclusions apply to the maximum extent permitted by Egyptian law. You agree to indemnify us for any losses, damages, or expenses (including legal fees) arising from your use of the Platform or your breach of these Terms.

Section 18: Termination, Suspension & Effect on Investments

Suspension: We may suspend your access upon suspected breach of these Terms or for security or operational reasons.

Termination: We reserve the right to terminate your access at any time, with or without cause, subject to your vested rights.

Effect on existing investments: Termination or suspension of Platform access does not affect vested ownership rights in existing Shares, which are settled per the relevant contractual documents. Locked bonuses not meeting their conditions may be forfeited upon termination for abuse.

Survival: Intellectual property, limitation of liability, indemnity, and governing law provisions survive termination.

Section 19: Platform Availability

We strive to keep the Platform continuously available, but we do not guarantee uninterrupted access due to factors beyond our control. Temporary interruptions may occur due to maintenance, updates, or technical issues. We reserve the right to control accessibility and impose restrictions for commercial, technical, legal, or regulatory reasons without prior notice.

Section 20: Risk Disclosure

Fractional real estate investment carries risk. Property values may rise and fall, there is no guarantee of recovering the amount paid, and past performance does not reflect future performance. You may face difficulty valuing or exiting some assets. Stated returns are indicative and may be affected by factors beyond our control. No content on the Platform is to be construed as a recommendation or invitation to invest. For more detail, see the separate "Risk Disclosure" document.

Section 21: Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt. In the event of any dispute, the parties shall seek amicable settlement within [period] of written notice. If amicable settlement fails, the competent Egyptian courts in [Cairo] shall have jurisdiction. Section 23: Data Privacy

By using Premier Share, you consent to the collection, processing, and storage of your personal data in accordance with our Privacy Policy, which forms an integral part of these Terms. Your data is used for the purposes specified in the Privacy Policy and in accordance with Egyptian Personal Data Protection Law No. 151 of 2020.
